Proxy Voting

THE WHY:

1) Water Island Civic Association is a nonprofit corporation, and as such, it is obligated to hold an annual meeting.
2) The annual meeting, according to the association bylaws, cannot be called to order without a quorum of a majority of association members in good standing.
3) Once the annual meeting is completed, the meeting minutes need to be filed with the Government of the Virgin Islands (GVI) in order to maintain our “Certificate of Good Standing” as a corporation.
4) Being in good standing with the GVI is required in order to obtain things like General Liability Insurance and Directors and Officers Insurance, banking accounts, etc. Without this insurance, the association would not be able to function.

THE ASK:

Regardless of whether you think you’ll be able to attend, we ask that you submit a proxy in case you end up not being able to attend. That way we can ensure we will have a quorum and be able to conduct the required business of the association without having to reschedule the meeting.

If you attend the meeting, your proxy will not be needed and you can vote in person. The majority of votes at the meeting are decided by acclamation, but in the event there is an actual competitive motion that needs a vote, individual votes and proxies may need to be counted.

WHAT TO DO:

Please fill out and email your proxy to hello@wica.vi, or give your proxy to a member of the executive committee who will be attending the annual meeting, preferably an officer. Proxies can also be mailed, or dropped off at The Crossing any time they are open.
